Himabeads Terms of Service

This website is operated by Himabeads. Throughout this site, “we,” “us,” and “our” refer to Himabeads. By accessing our website and/or purchasing goods from us, you agree to be bound by these Terms of Service (“Terms”), including any additional terms and policies referenced or linked herein. Please read them carefully before using this site. If you do not agree to any provision, please discontinue use immediately.


1. General Provisions

1.1 This agreement is entered into by and between Himabeads (“we” or “the Company”) and you, the purchaser (“you” or “Buyer”), and constitutes the entire understanding relating to the sale of goods and related services. Unless otherwise agreed in writing, all quotations, price lists, and other materials are for reference only and do not constitute a binding offer or commitment.
1.2 Any additional or conflicting terms proposed by you are not part of this agreement unless expressly accepted in writing by the Company.
1.3 We may update these Terms at any time. For any material changes (including but not limited to return policy, liability limitations, or jurisdiction clauses), we will notify you at least 30 days in advance by email and website announcement. Such changes will take effect only after your affirmative consent via a “Confirm” popup or email reply. If you do not consent, you may cancel your order for a full refund.


2. Pricing and Payment

2.1 All prices are quoted in U.S. dollars (USD) and British pounds sterling (GBP). Euro (EUR) is also available for customers in the Eurozone at prevailing exchange rates. Prices are Ex Works (EXW) from our facility, with shipping via DHL or UPS at your option, and exclude VAT, duties, and shipping fees.
2.2 We reserve the right to adjust prices without notice due to fluctuations in exchange rates, increases in upstream supplier costs, government actions, or other factors beyond our control.
2.3 You must pay the full amount invoiced by the due date. Late payments incur default interest at the China People’s Bank’s prevailing loan rate.
2.4 EU/UK Consumers: All charges must comply with the EU Consumer Rights Directive and mandatory local regulations; no undisclosed or additional fees may be imposed.


3. Packaging and Deposits

3.1 For returns or exchanges, items must be returned in their original, resalable packaging.
3.2 We may collect a deposit on reusable packaging (e.g., pallets, containers). Deposits are refunded within 30 days if packaging is returned undamaged; otherwise, repair or replacement costs will be deducted.
3.3 Certain specialty items (e.g., agarwood, qi nan) are non-returnable once opened.
3.4 EU/UK Consumers: You bear no additional costs for returns (excluding return shipping) and have a 14-day right to cancel for non-customized goods.


4. Retention of Title

4.1 We retain title to all goods until full payment of the purchase price, interest, and any fees. Risk of loss passes to you upon delivery, but title remains with us until payment is complete.


5. Force Majeure

5.1 “Force Majeure” means events beyond reasonable control, including natural disasters, war, government actions, or pandemics.
5.2 If performance is prevented by Force Majeure, we are excused from liability and will notify you in writing or by email within five business days of the event, providing supporting evidence.


6. Shipment and Delivery

6.1 Goods ship from our designated warehouse in China; specific location and delivery terms will be agreed in writing.
6.2 You bear all shipping risks and costs from the delivery point to the final destination, including duties and taxes.
6.3 For partial shipments, you must pay for each shipment as delivered; you may not withhold payment for delivered goods.
6.4 Lost Shipments: If goods are lost in transit, you must notify us in writing within two days of discovering the loss, with the carrier’s loss certificate. Upon verification, we will compensate you up to the carrier’s indemnified amount.
6.5 Designated Carriers: Returns and exchanges should use our designated carriers. If unavailable in your region, we may agree on an alternative carrier at your expense. A list of designated carriers and fees is on our website.
6.6 Refunds: Upon receipt and inspection of returned items, if packaging and labels are intact and items undamaged, we will refund the original payment method within two business days, delayed by up to five business days only in Force Majeure.
6.7 Shipping Cost Transparency (U.S.): Checkout must display estimated shipping, duties, and import taxes in compliance with FTC rules.


7. Storage and Standby

7.1 If you request delayed delivery, we will store the goods at your risk from the storage date, per your instructions.
7.2 You remain liable for storage and handling fees as agreed.


8. Warranty and Limitation of Liability

8.1 We warrant that goods meet PRC and industry quality standards; any higher supplier warranties may be passed on to you.
8.2 We disclaim liability for indirect losses (e.g., lost profits, business interruption) and third-party claims, except for:

  • EU/UK Consumers: Statutory consumer rights (personal injury, product liability, etc.);
  • U.S. Consumers: Strict product liability (including personal injury, property damage).
    8.3 These liability limitations do not affect mandatory legal protections (e.g., consumer rights directives, CCPA rights).

9. Acceptance and Returns

9.1 Upon delivery and your or your agent’s signature, goods are deemed accepted in quantity and packaging condition.
9.2 Except for defects or specification errors, returns require our written consent; you bear return shipping costs and risks.


10. Product Use Disclaimer

10.1 Product descriptions or traditional uses are provided for informational purposes only and do not constitute medical, health, or professional advice.
10.2 You assume all risks in using products and must comply with applicable laws and instructions.


11. Privacy and Data Protection

11.1 We process personal data in accordance with the PRC Personal Information Protection Law, GDPR, and CCPA. Our Privacy & Cookie Policy provides details.
11.2 Cross-border Transfer: EU→China under Standard Contractual Clauses (SCCs) (Ref. SCC-2025-XYZ); U.S.→China under CCPA “no sale” principle.
11.3 Your Rights: You may request access, correction, deletion, or restriction by emailing privacy@himabeads.com. We will respond within 30 days and provide appeal options.


12. Governing Law and Dispute Resolution

12.1 Governing Law: For domestic buyers, PRC law applies. For international buyers, mandatory local consumer protection laws prevail where stronger.
12.2 Jurisdiction:

  • EU/UK Buyers: May bring claims in their local courts or our PRC courts, or via the EU ODR platform.
  • U.S. Buyers: For orders under USD 10,000, disputes may be heard in California small claims court; otherwise, in our PRC courts or your local courts.
